Terms of Service

1. INTRODUCTION

Welcome to Assist Telecommunications.

These Terms and Conditions ("Terms") govern your access to and use of the Assist Telecommunications website, platform, applications, communication channels, products, services, and related technologies (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all visitors, users, customers, merchants, partners, payment service providers, acquirers, independent software vendors (ISVs), independent sales organisations (ISOs), payment facilitators (PayFacs), and any other entities accessing or using the Services.

2. BUSINESS USE ONLY

The Services are intended primarily for business and commercial use.

By using the Services, you represent and warrant that:

  • You have authority to act on behalf of the organisation you represent;
  • You are authorised to enter into legally binding agreements;
  • Your use of the Services complies with all applicable laws and regulations;
  • All information provided to Assist Telecommunications is accurate and complete.

3. DESCRIPTION OF SERVICES

Assist Telecommunications provides AI-powered and human-supported customer communication, payment support, merchant servicing, operational support, transaction enquiry handling, reconciliation assistance, customer engagement, reporting, workflow automation, messaging, voice communication, and related business support services.

Services may include:

  • AI voice agents;
  • Customer communication platforms;
  • Payment-related query handling;
  • Merchant servicing tools;
  • Appointment and interaction management;
  • Analytics and reporting tools;
  • CRM integrations;
  • Messaging services;
  • Call routing and escalation;
  • Data integrations;
  • Workflow automation;
  • Audit trail generation;
  • Related support services.

Assist Telecommunications may modify, enhance, suspend, or discontinue any part of the Services at any time without liability.

4. NO PAYMENT SERVICES

Assist Telecommunications is not a bank, payment institution, electronic money institution, acquiring bank, card issuer, payment facilitator, payment processor, money transmitter, regulated financial adviser, legal adviser, tax adviser, accounting adviser, or investment adviser.

Assist Telecommunications does not:

  • Process card payments;
  • Hold customer funds;
  • Receive settlement funds;
  • Execute payment transactions;
  • Provide regulated financial services.

Any payment processing, settlement, acquiring, card issuing, chargeback handling, or financial services are provided by third-party financial institutions, payment service providers, acquirers, gateways, or other regulated entities.

Users remain solely responsible for verifying all payment-related information before acting upon it.

5. AI AND AUTOMATED DECISION SUPPORT

The Services may utilise artificial intelligence, machine learning systems, automation technologies, large language models, data analysis tools, and automated workflows.

You acknowledge and agree that:

  • AI-generated outputs may contain inaccuracies;
  • AI-generated responses may be incomplete or outdated;
  • Automated recommendations should not be relied upon as professional advice;
  • Human review may be required before acting upon information generated by the Services;
  • Assist Telecommunications does not guarantee the accuracy of AI-generated outputs.

Any business, operational, regulatory, financial, legal, accounting, reconciliation, settlement, dispute, chargeback, billing, or customer service decision remains your sole responsibility.

6. TRANSACTION AND PAYMENT DATA

The Services may access, display, analyse, or communicate transaction-related information obtained from authorised third-party systems.

Assist Telecommunications does not independently verify the accuracy of transaction records supplied by:

  • Acquirers;
  • Payment processors;
  • Gateways;
  • Merchants;
  • PSPs;
  • CRM systems;
  • Settlement platforms;
  • Financial institutions;
  • Third-party integrations.

Users acknowledge that transaction data may be delayed, incomplete, inaccurate, unavailable, or subject to third-party errors.

Assist Telecommunications shall not be liable for any losses resulting from reliance upon transaction information obtained from third-party sources.

7. CARDHOLDER DATA AND PCI COMPLIANCE

Assist Telecommunications is designed to minimise the processing of payment card information.

Assist Telecommunications does not intentionally collect, store, process, or retain:

  • Full primary account numbers (PANs);
  • CVV or CVC codes;
  • PIN data;
  • Sensitive authentication data.

Where transaction information is displayed, card numbers may be masked or partially redacted.

Customers remain solely responsible for maintaining PCI DSS compliance within their own systems, environments, processes, and operations.

Nothing in these Terms constitutes a representation that a customer's own operations are PCI compliant.

8. CUSTOMER RESPONSIBILITIES

You are responsible for:

  • Maintaining the security of your systems;
  • Protecting login credentials;
  • Ensuring lawful use of the Services;
  • Obtaining required consents;
  • Maintaining regulatory compliance;
  • Verifying information generated by the Services;
  • Managing access permissions;
  • Maintaining accurate records;
  • Complying with applicable payment industry requirements.

You must not use the Services for any unlawful, fraudulent, misleading, harmful, or abusive purpose.

9. THIRD-PARTY SERVICES

The Services may integrate with, connect to, rely upon, or exchange information with third-party platforms, software applications, APIs, databases, cloud infrastructure providers, telecommunications providers, payment service providers, customer relationship management systems, scheduling platforms, messaging services, analytics tools, and other external systems or services. Such third-party services are operated independently of Assist Telecommunications and remain outside Assist Telecommunications's control. Accordingly, Assist Telecommunications does not warrant, represent, or guarantee the availability, accuracy, completeness, security, reliability, performance, compatibility, functionality, or continued operation of any third-party service, system, integration, or data source.

You acknowledge and agree that third-party services may be modified, restricted, suspended, interrupted, degraded, or discontinued at any time without notice, and that such events may affect the availability or functionality of the Services. Assist Telecommunications shall not be liable for any loss, damage, delay, interruption, inaccuracy, data issue, security incident, or other consequence arising from or relating to the acts, omissions, failures, or performance of any third-party provider, platform, system, integration, or service.

10. SERVICE AVAILABILITY

Assist Telecommunications will use commercially reasonable efforts to maintain service availability.

However, the Services are provided on an "as available" and "as is" basis.

Assist Telecommunications does not guarantee:

  • Uninterrupted availability;
  • Error-free operation;
  • Continuous uptime;
  • Immediate resolution of faults;
  • Specific service levels unless expressly agreed in writing.

Maintenance, upgrades, third-party outages, force majeure events, security incidents, and technical issues may affect availability.

11. INTELLECTUAL PROPERTY

All intellectual property rights relating to the Services, including software, source code, algorithms, workflows, documentation, branding, designs, interfaces, databases, content, trademarks, reports, and technology remain the exclusive property of Assist Telecommunications or its licensors.

No ownership rights are transferred to users.

Users are granted a limited, non-exclusive, revocable, non-transferable licence to access and use the Services in accordance with these Terms.

12. CONFIDENTIALITY

Each party shall protect confidential information disclosed by the other using reasonable care.

Confidential information shall not be disclosed except:

  • With written consent;
  • To professional advisers;
  • To authorised personnel;
  • Where required by law.

Confidentiality obligations survive termination of these Terms.

13. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the Services are provided "as is" and "as available."

Assist Telecommunications disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties relating to:

  • Accuracy;
  • Merchantability;
  • Fitness for a particular purpose;
  • Non-infringement;
  • Availability;
  • Reliability;
  • Security;
  • Performance.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Assist Telecommunications shall not be liable, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution, or otherwise, for any:

  1. loss of profits, revenue, anticipated savings, or business opportunities;
  2. loss of business, contracts, customers, goodwill, reputation, or market position;
  3. loss, corruption, destruction, inaccuracy, or unavailability of data, records, or information;
  4. business interruption, operational disruption, system downtime, or loss of productivity;
  5. chargebacks, payment disputes, refund claims, settlement discrepancies, reconciliation errors, merchant disputes, or cardholder claims;
  6. regulatory investigations, enforcement actions, fines, penalties, sanctions, or compliance-related losses;
  7. indirect, incidental, consequential, special, exemplary, aggravated, or punitive damages; or
  8. any losses arising from the use of, reliance upon, or inability to use the Services, including any AI-generated outputs, automated responses, recommendations, analyses, or information provided through the Services.

Assist Telecommunications shall not be responsible for any loss, damage, liability, or expense arising from inaccuracies, delays, omissions, interruptions, or failures in any third-party systems, payment processors, acquirers, gateways, financial institutions, software providers, telecommunications providers, APIs, integrations, or external data sources.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

Assist Telecommunications's aggregate liability arising out of or relating to the Services shall not exceed the amount paid by the customer to Assist Telecommunications during the twelve (12) months preceding the claim.

15. INDEMNITY

You agree to indemnify and hold harmless Assist Telecommunications, its officers, employees, contractors, affiliates, partners, and representatives from any claims, liabilities, damages, costs, losses, fines, penalties, or expenses arising from:

  • Your use of the Services;
  • Breach of these Terms;
  • Violation of applicable laws;
  • Regulatory investigations;
  • Customer disputes;
  • Third-party claims.

16. TERMINATION

Assist Telecommunications may suspend, restrict, or terminate your access to the Services immediately, with or without notice, where it reasonably believes that you have breached these Terms, engaged in fraudulent, unlawful, misleading, or abusive conduct, created a security risk to the Services or any third party, or where such action is required to comply with applicable law, regulatory requirements, court orders, or requests from competent authorities. Assist Telecom may also take such action where it considers it necessary to protect its systems, users, business operations, reputation, intellectual property, or other legitimate interests.

Upon termination, all rights granted to you under these Terms shall immediately cease. Any provisions which by their nature are intended to survive termination, including those relating to confidentiality, intellectual property, indemnities, limitations of liability, dispute resolution, and governing law, shall remain in full force and effect. Termination shall not affect any rights, remedies, obligations, or liabilities that have accrued prior to the date of termination.

17. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Services.
